1. About these terms
These Terms & Conditions ("Terms") are an agreement between you and H.G. Logistics ("H.G. Logistics," "we," "us," or "our"), based in Orange County, California. They cover your use of our website at hg.myamazeai.com (the "Site") and any information you request from us through it.
If you use the Site on behalf of a company, you confirm that you have authority to accept these Terms for that company. If you do not agree with these Terms, please do not use the Site.
2. Our services and agreements
H.G. Logistics provides China purchasing agency services, supplier negotiation, production follow-up, import coordination, U.S. warehousing, distribution, and 3PL fulfillment.
The Site describes these services in general terms. Any work we do for you is governed by a separate written agreement, such as a service agreement, statement of work, or signed quote. That agreement sets out the scope, fees, service levels, liability, insurance, and other terms. If a written agreement conflicts with these Terms, the written agreement controls.
3. Information, quotes and estimates
Content on the Site is for general information. It is not an offer to provide services, and it is not legal, tax, customs, or financial advice.
Any quote, landed-cost estimate, timeline, or capacity figure we give you is based on the information available at that time and on assumptions we share with you. Supplier prices, freight rates, duties, tariffs, exchange rates, and lead times change, sometimes quickly. Unless a written agreement says otherwise, estimates are not guarantees.
4. Carriers, brokers and suppliers
Our work connects you with independent third parties, including manufacturers, inspection firms, freight forwarders, ocean and air carriers, licensed customs brokers, trucking companies, and parcel carriers. These parties are not our employees or agents.
Customs clearance is performed by licensed customs brokers. Carriers handle goods under their own terms and liability limits. Unless a written agreement says otherwise, H.G. Logistics is not responsible for the acts, delays, or failures of these third parties, but we will work with you and them to resolve problems.
5. Your responsibilities
When you work with us, you agree to:
- Give us accurate and complete information about your products, specifications, quantities, and destinations.
- Make sure your products and their labeling, packaging, and marketing are lawful to import and sell in the United States, and hold any required certifications, testing, or permits.
- Own or have the right to use any trademarks, designs, or other intellectual property on your products and packaging.
- Pay invoices on the terms agreed in writing.
We may decline or stop work involving products that are prohibited, restricted, unsafe, counterfeit, or that we reasonably believe break the law.
6. Acceptable use of the site
You may use the Site for lawful business purposes. You agree not to:
- Use the Site in a way that breaks any law or regulation.
- Try to gain unauthorized access to the Site, our servers, or any connected system.
- Upload or send malware, or interfere with the Site's operation or security.
- Scrape, copy, or collect content or data from the Site by automated means without our written permission.
- Pretend to be another person or company, or send false information through our forms.
7. Intellectual property
The Site and its content, including text, graphics, the H.G. Logistics name and logo, and page design, belong to H.G. Logistics or its licensors and are protected by intellectual property laws. Some photographs are used under license from their owners.
You may view and print pages for your own business use. You may not copy, change, republish, or distribute Site content, or use our name or logo, without our written permission.
8. What you send us
Information you send us about your business, products, and suppliers stays yours. We use it to answer your request and, if we work together, to provide our services, as described in our Privacy Policy. We treat non-public business information as confidential. Where a signed non-disclosure or service agreement exists, its confidentiality terms apply.
9. Links to other sites
The Site may link to websites run by others, such as review platforms and social networks. We provide these links for convenience. We do not control those sites and are not responsible for their content, products, or privacy practices.
10. Disclaimer
We work to keep the Site accurate and available, but it is provided "as is" and "as available." To the fullest extent allowed by law, we make no warranties of any kind about the Site, whether express or implied, including warranties of accuracy, merchantability, fitness for a particular purpose, and non-infringement. 11. Limitation of liability
To the fullest extent allowed by law, H.G. Logistics will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising from your use of the Site or reliance on its content.
Our total liability for any claim relating to the Site will not exceed one hundred U.S. dollars (US $100). Liability for services we provide is governed only by the written agreement for those services. Some jurisdictions do not allow certain limits, so some of these limits may not apply to you.
12. Indemnity
You agree to defend and hold harmless H.G. Logistics and its owners, employees, and partners from claims, losses, and costs (including reasonable legal fees) arising from your misuse of the Site, your breach of these Terms, or information you provide that is false or infringes the rights of others.
13. Governing law and disputes
These Terms are governed by the laws of the State of California, without regard to its conflict of law rules. Any dispute relating to these Terms or the Site will be brought only in the state or federal courts located in Orange County, California, and you agree to the jurisdiction of those courts. Before filing any claim, both parties agree to try in good faith to resolve the dispute by talking first.
14. General terms
- Changes. We may update these Terms. The "Last updated" date shows when. Using the Site after a change means you accept the updated Terms.
- Severability. If any part of these Terms is found unenforceable, the rest stays in effect.
- No waiver. If we do not enforce a term right away, we can still enforce it later.
- Entire agreement. These Terms and our Privacy Policy are the full agreement about use of the Site. Services are covered by their own written agreement.
